MYHELPR | WORKER & SERVICE PROVIDER TERMS AND CONDITIONS
All workforce categories: salaried employees, independent providers and agency personnel | Effective 09 October 2026 | Version 1.0
IMPORTANT NOTICE AND SCOPE
These Worker and Service Provider Terms and Conditions (“Provider Terms”) govern access to, onboarding on, and performance of services connected with the MyHELPR platform operated by Sagar Trifix Private Limited (“MyHELPR”, “Company”, “we”). They apply to (a) employees and salaried personnel (“Employees”), (b) independent professionals, gig and platform workers, contractors and individual service partners (“Independent Providers”), and (c) service agencies and their deployed personnel where an agency has accepted these Terms (“Agency Providers”). Together, they are called “Providers”. Effective date: 09 October 2026. Website: www.myhelpr.in; contact: support@myhelpr.in.
These Terms form a common platform conduct, safety, confidentiality and accountability framework. For Employees, mandatory employment law, the appointment letter, applicable employment terms and statutory policies prevail if inconsistent. For Independent and Agency Providers, the agreed commercial schedule, service order and mandatory law prevail if inconsistent. An app acceptance does not itself determine employee or contractor status; actual facts and law control. These Terms do not replace legally required employment documentation, statutory registrations or training.
1. ELECTRONIC ACCEPTANCE AND RECORDS
Before accepting, a Provider must be able to open, read, download and retain the complete current version of these Terms and the Worker and Service Provider Privacy Policy. By deliberately selecting the unticked “I have read and agree” checkbox and then “Accept and Continue” while authenticated or after an appropriate identity-verification step, the Provider offers or confirms acceptance electronically. The Company may rely on electronic contract formation as permitted by applicable law; acceptance is not represented as a certificate-based digital signature.
The system should retain the Provider ID, name/registered mobile, applicable relationship category, document titles and version/hash, language displayed, UTC and local timestamp, IP/device or session identifier where lawful, checkbox and button event, notice and consent preferences, and the acceptance receipt. Copies shall be made available on request. No deemed acceptance by silence or mere continued use for material adverse changes; obtain renewed affirmative acceptance when legally required.
If a Provider is an agency, its authorised representative warrants power to accept these Terms and is responsible for communicating applicable rules to deployed personnel; the Company must separately provide appropriate worker data notices and employment-related disclosures where required.
2. PROVIDER ELIGIBILITY, DECLARATIONS AND VERIFICATION
Providers must be legally eligible to work, at least the lawful minimum working age for the role, provide truthful identity, contact, skills, training, licences, certifications, past experience, bank and tax information and maintain current information. They must not impersonate another person, lend accounts, conceal material safety restrictions or supply forged documents.
Providers authorise proportionate, lawful identity, credential, reference, eligibility and where justified background or police-verification checks, subject to notices, permissions and data-protection law. Verification is a risk-reduction measure, not a guarantee of conduct or a transfer of the Provider’s responsibility to MyHELPR. Adverse action will be based on relevant evidence, fairness and applicable law. The Company must not falsely present an unchecked status as verified.
3. APPLICABILITY BY WORKFORCE CATEGORY
Employees: wages, working hours, overtime, leave, weekly rest, deductions, health and safety, social security, disciplinary procedure, grievances, termination and notice are governed by applicable law and written employment conditions. These Terms create no waiver of statutory rights; an Employee cannot be required to indemnify the Company for lawful performance of Company instructions or bear arbitrary fines or unlawful wage deductions.
Independent Providers: except where law or the true facts determine otherwise, engagement is on a non-exclusive service-order basis and does not by itself provide an employment guarantee, fixed hours or employee benefits. Providers remain responsible for their own applicable business registrations, taxes, permits, equipment and insurance as lawfully agreed. Statutory gig/platform-worker benefits, where applicable, are not waived.
Agency Providers: the agency is responsible for its lawful recruitment, payments, statutory filings, permits, supervision and acts of persons it supplies, without relieving MyHELPR of duties imposed directly upon it by law. The agency shall ensure deployed personnel understand the relevant safety, confidentiality, conduct and reporting rules. The actual employer and principal-employer duties are determined by law, not labels.
4. BOOKINGS, SERVICE STANDARDS AND AUTHORISED WORK
Only accept assignments for which properly skilled, authorised, fit and equipped. Confirm arrival, work scope, duration and completion accurately; do not substitute another person or subcontract without prior authorisation. Work must meet the booking description and reasonable professional skill and care. Follow lawful customer instructions consistent with Company processes, health and safety and booked scope.
Do not demand off-platform payment, add charges, sell materials, expand scope, share personal contact information for solicitation or arrange direct repeat jobs using MyHELPR customer data without authorisation. Where changes to quoted scope, timing or price are necessary, obtain Company/customer approval through authorised channels before proceeding. Never misstate working time or mark unperformed work completed.
Customer bookings, pricing, refund and cancellation decisions will follow the applicable published customer terms and booking-level disclosures. The Company may reassign, cancel or suspend a booking where reasonably necessary for safety, legality, quality or operational continuity.
5. ZERO-TOLERANCE MISCONDUCT AND PROHIBITED CONDUCT
Providers shall not commit theft, attempted theft, fraud, forgery, extortion, threats, violence, physical or sexual harassment, stalking, intimidation, discrimination, abusive language, intoxicated service, unauthorised entry, trespass, deliberate property damage, unsafe work, criminal acts, bribery or corruption. They must not bring unauthorised companions, photograph people or private premises without legitimate permission, access drawers/files/devices unrelated to the task, or misuse keys, passes, OTPs, locks, CCTV or access codes.
Treat children, elders, persons with disabilities, patients, domestic staff and pets with care and dignity. No unsupervised child or patient care beyond authorised scope, no medical diagnosis or treatment unless properly qualified and legally authorised, and no unsafe handling of chemicals, ladders, power tools, electrical systems or vehicles. Do not perform hazardous or licensed work without qualification, protective equipment and permissions.
Violation may result in immediate removal from the assignment, temporary restricted access, investigation, proportionate disciplinary action, deactivation or termination under applicable law, and referral to competent authorities. No clause prevents a good-faith complaint or lawful whistleblowing.
6. CUSTOMER PROPERTY, LOSS AND DAMAGE
Before starting, report visibly fragile items, pre-existing damage and unsafe conditions through available booking records. Take reasonable precautions against spills, breakage, contamination, water damage, fire, personal injury, security breaches and loss of property. Do not use customer equipment or consumables outside approved scope.
A Provider is responsible, to the extent attributable to the Provider and legally recoverable, for direct damage, loss, injury or expense resulting from their fraud, theft, wilful misconduct, negligent or unauthorised act, breach of these Terms or unlawful act. Allegations do not establish guilt. The Company will consider evidence, causation, proportionality and available insurance, permit a fair response, and comply with applicable rules before any recovery or referral.
Workers are not automatically responsible for every missing customer item, pre-existing defect, accidental event or loss unrelated to their acts. Ordinary business losses and damages due to Company fault shall not be passed to Employees in violation of law.
7. LIABILITY ALLOCATION; COMPANY DISCLAIMER
Independent Providers and Agency Providers perform services using their own professional judgment within the agreed assignment and shall bear primary responsibility for their own conduct, omissions and contractual breaches. To the fullest extent permitted by applicable law, MyHELPR does not assume responsibility merely because it lists, schedules, facilitates payment for or connects an independent Provider with a customer, for independent acts beyond MyHELPR’s control.
No blanket exclusion applies. MyHELPR remains responsible to the extent liability arises from its own negligence, wilful misconduct, misleading representations, breach of statutory consumer protections, unlawful data processing, failure of duties imposed directly by law, acts for which it is vicariously liable under applicable law, or any other non-excludable obligation. Nothing in these Terms restricts third-party, customer, employee or regulator rights against MyHELPR.
To the extent legally permitted between the Company and the Provider, neither party is liable to the other for speculative or remote consequential loss not otherwise recoverable by law. A limit, if any, does not cover fraud, deliberate wrongdoing, infringement, confidentiality/data misuse or liabilities that cannot lawfully be limited. No cap herein restricts customer compensation or any statutory claim.
8. PROVIDER INDEMNITY AND DEFENCE COOPERATION
Each Independent Provider, and each Agency Provider for its own acts and those of personnel it supplies, shall indemnify and hold harmless the Company and its officers, personnel and authorised representatives against reasonable, documented third-party claims, direct losses, judgments, settlements approved by the indemnifying party (approval not unreasonably withheld), and legal costs to the extent finally caused by that Provider’s fraud, theft, harassment, wilful misconduct, negligent or unauthorised act, infringement, or breach of lawful obligations or these Terms.
Indemnity is apportioned by causation and fault; it excludes losses caused by the Company’s own wrong and any liability that cannot lawfully be shifted. The Company will give reasonable prompt notice, permit participation in defence where appropriate, mitigate losses and avoid duplicate recovery. Independent Provider indemnity is not a substitute for insurance, criminal remedies or customer redress.
For Employees, recovery and any indemnity are only to the extent expressly permitted under applicable wage, employment and other law, and after lawful process. No automatic forfeiture, fines, blanket salary set-off or coercive recovery is created by this clause.
9. PAYMENTS, FEES, TAXES AND SET-OFF
Customer payments are collected through MyHELPR or its authorised payment partners unless the Company expressly approves another method. Independent/Agency Provider service fees, commission split, invoicing, payout cycle and taxes are as displayed and agreed at onboarding or per service-order/commercial schedule; these Terms do not invent a universal commission or wage rate. Statutory tax withholding, invoices and applicable GST responsibilities shall follow law and the actual supply model.
Employees receive wages and benefits under their appointment terms and law, not on the assumption of a provider commission. The Company shall not withhold lawfully earned wages as security for unproven claims. Any independent-provider adjustment, chargeback or recovery requires notice, reasonable documentary basis and an opportunity to contest; Employee deductions are governed by statutory limits and procedures.
10. HEALTH, SAFETY, INCIDENTS AND EMERGENCIES
Follow applicable safety instructions, training, protective-equipment requirements and occupational safety law. Do not work under the influence, with unsafe tools or in unsafe locations. Stop unsafe work, alert the Company/customer and seek emergency assistance where required. MyHELPR may reject an unsafe assignment; a Provider may decline unlawful or imminently dangerous work without retaliation prohibited by law.
Immediately report suspected theft, assault, harassment, injury, property damage, dangerous conditions, missing persons, loss of customer keys or data breach via support@myhelpr.in or the designated emergency process. Preserve evidence lawfully; do not intimidate witnesses, conceal incidents, admit Company liability or privately settle a Company booking dispute without authorisation. Cooperate with good-faith investigations and lawful authority requests. Emergency medical/police assistance should be sought directly when needed.
11. PERSONAL DATA, CONFIDENTIALITY AND CONTENT
Use customer name, number, address, access information, photos, chat and records solely to fulfil assigned bookings and resolve related issues. No copying contacts, customer-list building, off-platform solicitation, private messaging, unnecessary retention, public posting or sharing information with unauthorised people. Use permitted Company channels and secure devices; report lost phones, accidental disclosure and suspicious access immediately.
Never record, livestream or photograph customers, children, homes, documents, valuables or staff without legal authority and required permission. At end of assignment or engagement, return/delete copies except where retention is legally required. Follow the separate Worker and Service Provider Privacy Policy for how MyHELPR processes Provider data and the Company customer privacy policy for customer data.
Company brand assets, app content, operational playbooks, designs and software remain Company/licensor property. No use outside authorised work. Providers retain their pre-existing intellectual property; any project-specific ownership transfer needs separately valid terms where required.
12. COMPLAINTS, FAIR PROCESS AND COOPERATION
A customer or Provider may report service issues and safety incidents to support@myhelpr.in. The Company may preserve relevant booking, message, attendance, payment and verification records and reasonably investigate reports. For serious imminent risks, access may be suspended pending investigation. The Provider should receive available particulars and a fair chance to answer where practicable, subject to safety and legal restrictions.
Complaint resolution may include correction, replacement, refund or customer support consistent with consumer law. Company refunds do not automatically prove provider fault. Any allocation of loss or cost shall consider actual cause, customer responsibility, Company contribution and the Provider’s lawful obligations. Providers must not obstruct customers’ statutory remedies or police reporting.
13. RESTRICTED ACCESS, TERMINATION AND SURVIVAL
The Company may restrict assignments or revoke platform access for material breach, safety risk, fraud, loss of eligibility or lawful business reasons, with notice where appropriate. Employee suspension, discipline and termination remain subject to appointment terms, due process and applicable labour law. Independent/agency exit, pending fees and notices follow their relevant commercial arrangement and law.
Accrued lawful payment rights, confidentiality, evidence preservation, valid indemnities, dispute provisions and statutory rights survive termination to the extent appropriate. Deactivation does not permit unlawful retention of funds or personal data.
14. COMPLIANCE, TAX, WORKER RIGHTS AND NON-WAIVER
All parties must comply with applicable Indian consumer protection, labour, social security, occupational safety, taxation, criminal, anti-harassment and data-protection laws, as amended and commenced from time to time. No Provider may contract out of non-waivable minimum wages, benefits, leave, workplace-safety protections, complaint mechanisms or statutory rights.
These Terms supplement, but do not replace, an Employee appointment letter, legally required registers, pay slips, statutory filings, workplace policies or any profession-specific licences and consents. Role-specific safeguarding checks, background-verification notices, insurance and training may be required as appropriate.
15. GOVERNING LAW, DISPUTES AND CONTACT
Indian law governs these Terms. Complaints should first be sent to support@myhelpr.in. Subject to mandatory jurisdiction, competent courts and tribunals may be approached; no worker or customer is barred from statutory authorities, labour forums, police, consumer commissions or courts. Neither party waives any non-waivable statutory remedy. Venue for ordinary contract disputes may be Gurugram, Haryana, only where otherwise legally permissible.
